Terms and Conditions of Use

These Terms and Conditions govern your use of ReNood, operated by BSF LLC. For contact information, see Section 30.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THEY CONTAIN AN AGREEMENT TO ARBITRATE, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, AND OTHER IMPORTANT PROVISIONS AFFECTING YOUR LEGAL RIGHTS. BY ACCESSING OR USING THE SERVICE YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By accessing or using the ReNood application, website, or any related services (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms form a legally binding agreement between you and BSF LLC ("Company," "we," "us," or "our"). If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Age Requirement — 13 and Older Only

YOU MAY NOT USE THE SERVICE IF YOU ARE UNDER THE AGE OF 13. BY CREATING AN ACCOUNT YOU REPRESENT THAT YOU ARE AT LEAST 13 YEARS OF AGE. Users between the ages of 13 and 17 represent that they have obtained parental or guardian consent to use the Service and that their parent or guardian has reviewed and agreed to these Terms on their behalf.

How we handle age verification:

During account registration, users are required to confirm that they are 13 years of age or older
We do not collect date of birth or any other age-related personal information
Users who do not confirm they are 13 or older are not permitted to create an account
Users aged 13 to 17 are permitted to use the Service with parental or guardian consent as described in this section

If we discover that a user is under 13:

We will immediately suspend the account
We will delete all associated personal data within 30 days
We will not knowingly collect, use, or retain personal information from any person under 13

BSF LLC relies in good faith on the age confirmation provided by users. If a user under 13 provides false information to circumvent this restriction, BSF LLC bears no liability for any resulting issues and the user and their parent or guardian assume full responsibility. Parents or guardians who believe their child under 13 has created an account should contact us immediately at support@bsfworks.com.

NOTE TO PARENTS AND GUARDIANS: If you become aware that your child under 13 has provided us with personal information without your consent, please contact us at support@bsfworks.com and we will promptly delete that information within 30 days. For users aged 13 to 17, you as parent or guardian are responsible for supervising your child's use of the Service and agree to these Terms on their behalf.

3. Description of the Service — Informal Tool Only

ReNood is a subscription management and organizational tool designed to help users track, split, and manage subscription-related expenses among groups of people they personally know. THE SERVICE IS AN INFORMAL ORGANIZATIONAL AND CONVENIENCE TOOL ONLY. IT IS NOT AND SHALL NOT BE CONSTRUED AS:

A bank or financial institution
A payment processor or money transmitter
A financial advisor or financial planner
A legal advisor or legal service
A tax advisor or accounting service
A billing service
A credit reporting service

Any subscription splits, cost-sharing arrangements, or payment coordination facilitated through the Service represent informal agreements between users. These are NOT legally binding contracts of any kind. BSF LLC is not a party to any financial arrangement between users and bears no responsibility for any payment disputes, missed payments, or financial disagreements between Tribe members.

YOU AGREE THAT YOU WILL NOT RELY ON THE SERVICE FOR PAYMENT DEADLINES, FINANCIAL DECISIONS, CANCELLATION DEADLINES, LEGAL OR REGULATORY COMPLIANCE, ACCOUNTING OR RECORD-KEEPING OBLIGATIONS, OR TAX OBLIGATIONS. ANY USE OF THE SERVICE FOR THESE PURPOSES IS ENTIRELY AT YOUR OWN RISK.

4. Current and Planned Features

4.1 Current Features

Subscription tracking and organization
Tribe creation and management — Champion invites up to 5 Tribe members
Subscription cost splitting coordination among Tribe members
Email inbox scanning for subscription and receipt identification (opt-in only)
Service-related notifications via email, SMS, and push notification

4.2 Planned Future Features — Forward-Looking Disclosure

The following features are in development and not yet available. By agreeing to these Terms you acknowledge that these features may become available and that your continued use of the Service after their introduction constitutes acceptance of any updated consent terms:

Credit card statement upload — users will upload PDF or image statements for AI-assisted extraction of subscription transaction data
Credit card perk and benefit matching — users will enter their card type and receive matched benefit information
Subscription price hike alerts — monitoring of known subscription pricing with alerts when increases are detected

Planned features may be modified, delayed, or discontinued without notice. BSF LLC makes no guarantee as to timeline, availability, or accuracy of planned features.

5. AI Processing Disclosure

The Service uses and will use artificial intelligence technologies to process user data. This includes processing of email content, uploaded documents, and subscription information. YOU EXPRESSLY CONSENT TO YOUR DATA BEING PROCESSED BY AI SYSTEMS AS PART OF USING THE SERVICE.

Current and anticipated AI service providers include:

Anthropic (Claude AI) — anthropic.com — Privacy Policy available at anthropic.com/privacy
OpenAI (ChatGPT) — openai.com — Privacy Policy available at openai.com/privacy
Google AI — ai.google — Privacy Policy available at policies.google.com/privacy

Under the terms of our agreements with these providers, your data submitted through our API integrations is not used to train their AI models. Your financial documents and personal information are processed solely to provide the Service and are not retained by these providers beyond the immediate processing task. BSF LLC is not responsible for the independent privacy practices of these third-party AI providers beyond our contractual obligations with them.

6. Limited Power of Attorney — Authorization to Act on Your Behalf

For the limited purpose of providing certain Service features — including but not limited to email scanning, statement processing, and any future subscription management features — you hereby appoint BSF LLC as your limited agent and attorney-in-fact, with authority to:

Access and process email accounts you have connected to the Service
Process and analyze documents you have uploaded to the Service
Access subscription-related information on your behalf as necessary to provide the Service

This limited power of attorney is granted solely for the authorized purpose of providing the Service features you have enabled. BSF LLC is acting as your agent only — it is NOT acting as the agent of any third-party service provider, bank, or subscription company. You understand that BSF LLC is not sponsored or endorsed by any third-party subscription service accessible through the Service.

This authorization remains in effect until you revoke it by disconnecting the relevant feature in your account settings or by deleting your account.

7. Champion and Tribe Model

The Service operates on a Champion and Tribe model:

Champion — a paying subscriber who creates and manages a Tribe and is the primary account holder responsible for the Tribe's activity
Tribe Members — users invited by a Champion who receive complimentary access to certain features

By participating as a Champion or Tribe Member you acknowledge:

Champions can see Tribe member participation status and subscription split amounts within the Tribe
Tribe member access is contingent on the Champion's active subscription — if a Champion cancels, Tribe member access may be suspended
When a Tribe member deletes their account, their personal identifying information will be removed from the Tribe's records; however, historical split data and transaction records may remain visible to the Champion in anonymized or aggregated form as part of the Champion's account records
BSF LLC is not responsible for disputes between Champions and Tribe members regarding subscription costs or payments — such disputes are strictly between the users involved
Subscription cost splitting is a convenience tool only and does not create any legally binding payment obligation enforceable by BSF LLC

8. Email Scanning and Automated Processing

Email scanning is entirely optional and requires your active opt-in. If you enable this feature:

You expressly authorize BSF LLC to access, process, and analyze your inbox for the purpose of identifying subscriptions, receipts, and related messages
Scanning is automated and may be incomplete, inaccurate, delayed, or fail entirely
Your email content will be processed by AI systems as described in Section 5
BSF LLC does not read, store, or analyze personal emails unrelated to subscriptions
BSF LLC does not guarantee that all subscriptions or billing messages will be identified or correctly categorized
You may disconnect email scanning at any time in account settings
You remain solely responsible for verifying your own accounts, bills, subscriptions, and financial obligations

9. Credit Card Statement Upload — Planned Feature

When available, the following terms will govern statement uploads. Continued use after launch constitutes acceptance:

You may upload credit card statements in PDF or image format
Uploaded statements will be processed by AI systems to extract subscription-related transaction data only
By uploading you confirm you are the authorized account holder or are legally authorized to share the document
BSF LLC extracts only: merchant name, transaction amount, and transaction date — we do NOT extract or store full card numbers, CVV codes, Social Security numbers, or complete account numbers
Raw uploaded statement files are deleted from our systems within 48 hours of processing
The accuracy of AI-extracted data is not guaranteed — you are responsible for verifying accuracy
BSF LLC is not responsible for errors in data extraction from uploaded statements

10. Your Registration Information and Account Security

You are responsible for:

Providing true, accurate, current, and complete registration information
Maintaining the confidentiality of your password and account credentials
All activity that occurs under your account
Preventing unauthorized access to your account
Notifying us immediately at support@bsfworks.com if you believe your account has been compromised

BSF LLC cannot and does not guarantee the identity of other users you interact with on the Service. You are solely responsible for verifying the identity of people you invite to your Tribe.

11. Subscription and Payment Terms

ReNood offers a free tier and paid Pro subscription plans (monthly and annual). By subscribing you agree to:

Pay all applicable fees as presented at the time of purchase
Provide accurate and current billing and payment information
Authorize BSF LLC to charge your payment method on a recurring basis (monthly or annually, depending on the plan you choose) until you cancel
Subscription fees may be subject to applicable state and local taxes depending on your location — any required taxes will be added to the stated price
Subscription prices may be changed with reasonable advance notice — continued use after a price change takes effect constitutes acceptance
Subscriptions automatically renew unless canceled before the renewal date
Refunds are at BSF LLC's sole discretion except as required by applicable law

12. Telecommunications and Mobile Device Disclaimer

USE OF THE SERVICE THROUGH A MOBILE DEVICE REQUIRES COMPATIBLE HARDWARE, INTERNET ACCESS, AND APPLICABLE NETWORK CONNECTIVITY. BSF LLC MAKES NO WARRANTIES REGARDING: (I) THE AVAILABILITY OF TELECOMMUNICATIONS SERVICES FROM YOUR CARRIER OR PROVIDER AT ANY TIME OR FROM ANY LOCATION; (II) ANY LOSS, DAMAGE, OR SECURITY INTRUSION OF TELECOMMUNICATIONS SERVICES; OR (III) ANY DISCLOSURE OF INFORMATION TO THIRD PARTIES OR FAILURE TO TRANSMIT ANY DATA IN CONNECTION WITH THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR ANY APPLICABLE DATA CHARGES FROM YOUR CARRIER.

13. Notifications and Alerts Disclaimer

BSF LLC may provide automatic and voluntary notifications and alerts. You understand and agree that:

Alerts may be delayed or prevented by technical or other factors beyond our control
BSF LLC cannot guarantee delivery, timeliness, or accuracy of any notification or alert
BSF LLC is not liable for delays, failure to deliver, misdirected delivery, or errors in alert content
BSF LLC is not liable for actions taken or not taken by you or any third party in reliance on an alert
Alerts are not encrypted and may include account-related information — you are responsible for securing access to your devices

SMS NOTIFICATIONS: Message and data rates may apply. Message frequency varies. Text STOP to stop receiving messages. Text HELP for help. Phone carriers are not liable for delayed or undelivered messages.

14. User-Submitted Content

You are solely responsible for all content you provide, post, upload, or submit through the Service. BSF LLC is not responsible for evaluating the accuracy, truthfulness, usefulness, legality, safety, or applicability of any content submitted by users. BSF LLC may, in its sole discretion, remove any content for any reason without notice. BSF LLC has no obligation to monitor user-submitted content but may do so at its discretion.

15. Anti-Money Laundering and Prohibited Financial Activity

You agree that you will not use the Service for money laundering, fraud, or any illegal financial activity. You agree to report any suspicious activity or parties you believe to be engaged in illegal financial conduct to support@bsfworks.com and, where required, to appropriate law enforcement authorities. BSF LLC reserves the right to report suspected illegal financial activity to relevant authorities.

16. No Warranty — AS IS Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BSF LLC AND ITS FOUNDERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES (COLLECTIVELY "BSF PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
ACCURACY, COMPLETENESS, OR RELIABILITY OF THE SERVICE OR ANY INFORMATION PROVIDED THROUGH IT
THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
THAT DEFECTS WILL BE CORRECTED
NON-INFRINGEMENT

YOU EXPRESSLY AGREE THAT YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. BSF LLC DOES NOT REPRESENT THAT THE SERVICE IS ERROR-FREE, COMPLETE, OR CAN BE RELIED UPON FOR ANY PURPOSE.

17. No Reliance

You expressly agree that you will NOT rely on the Service for:

Any payment deadline or financial obligation
Any cancellation deadline
Any financial decision of any kind
Legal or regulatory compliance
Accounting or record-keeping obligations
Tax filing or tax obligations
Any decision that may affect your financial health, credit, or legal standing

THE SERVICE IS A CONVENIENCE TOOL ONLY. ANY USE OF THE SERVICE AS A SUBSTITUTE FOR PROFESSIONAL FINANCIAL, LEGAL, OR ACCOUNTING ADVICE IS ENTIRELY AT YOUR OWN RISK.

18. Comprehensive Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BSF PARTIES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:

DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
MISSED PAYMENTS, MISSED CANCELLATIONS, OR FINANCIAL PENALTIES
FEES, INTEREST, OR CHARGES INCURRED AS A RESULT OF RELIANCE ON THE SERVICE
FAILURE, DELAY, OR NON-DELIVERY OF ANY EMAIL, SMS, PUSH NOTIFICATION, OR OTHER COMMUNICATION
ERRORS, INACCURACIES, OR OMISSIONS IN AI-PROCESSED DATA
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
ANY THIRD-PARTY SERVICE OUTAGE, ERROR, OR FAILURE
EMOTIONAL DISTRESS OF ANY KIND
ANY OTHER LOSS OR DAMAGE OF ANY NATURE

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF BSF LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IF LIABILITY IS FOUND DESPITE THE ABOVE, THE MAXIMUM TOTAL LIABILITY OF BSF LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO BSF LLC IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). THIS CAP APPLIES TO ALL CLAIMS IN THE AGGREGATE, NOT PER CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

19. Indemnification

You agree to defend, indemnify, and hold harmless BSF LLC and its founders, members, managers, officers, employees, contractors, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — of every kind and nature, arising out of or related to:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any applicable law or regulation
Any content you submit, post, or transmit through the Service
Any dispute between you and any other user or third party
Your provision of false or inaccurate information to BSF LLC
Your unauthorized use of another person's account or data

20. Third-Party Services

The Service relies on and integrates with third-party services. BSF LLC does not control and is not responsible for any third-party services, their outages, errors, content, or actions. Your use of third-party services is entirely at your own risk and subject to those parties' terms of service and privacy policies. BSF LLC is not responsible for any payment processing errors, fees, or issues arising from third-party service failures.

21. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, and software — are the exclusive property of BSF LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, sublicense, or lease any part of the Service without our express written permission.

22. DMCA Copyright Notice

BSF LLC respects intellectual property rights. If you believe your copyrighted work has been used through the Service in a way that constitutes infringement, please send a notice containing the following to support@bsfworks.com:

A physical or electronic signature of the copyright owner or authorized agent
Identification of the copyrighted work claimed to be infringed
Identification of the allegedly infringing material and its location in the Service
Your contact information including name, address, telephone number, and email address
A statement of good faith belief that the use is not authorized by the copyright owner
A statement under penalty of perjury that the information is accurate and you are authorized to act

Upon receipt of a valid infringement notice, BSF LLC will take appropriate action including removal of the allegedly infringing content. Repeat infringers may have their accounts terminated.

23. Account Termination

BSF LLC may suspend or terminate your account at any time, with or without notice, for any reason including violation of these Terms. Upon account termination your data will be handled in accordance with our Data Retention Policy.

You may delete your account at any time through account settings. You may also choose to deactivate your account rather than delete it — a deactivated account preserves your data and settings for 90 days allowing you to reactivate. After 90 days of inactivity following deactivation, your account and data will be permanently deleted. To reactivate a deactivated account contact support@bsfworks.com.

24. Modifications to Service and Terms

BSF LLC reserves the right to modify, suspend, or discontinue the Service at any time with or without notice. We reserve the right to change these Terms at any time. Material changes will be communicated by email or by posting a notice in the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance. If you do not agree to updated Terms you must stop using the Service.

25. Dispute Resolution — Mandatory Pre-Arbitration Notice

Before filing any arbitration claim against BSF LLC, you must:

Send written notice to BSF LLC at support@bsfworks.com describing your name, account email, a detailed description of the dispute, and the relief you are seeking
Allow 30 days from receipt of your notice for BSF LLC to attempt to resolve the dispute informally
Your claims will be tolled during this 30-day period

If the dispute is not resolved within 30 days, either party may proceed to arbitration as described below.

DISPUTE NOTIFICATION DEADLINE: YOU MUST NOTIFY BSF LLC OF ANY DISPUTE WITHIN ONE YEAR OF THE DATE THE CLAIM AROSE. ANY CLAIM NOT BROUGHT WITHIN THIS PERIOD IS PERMANENTLY WAIVED AND BARRED. THIS APPLIES TO ALL CLAIMS OF ANY KIND.

26. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL.

You and BSF LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

CLASS ACTION WAIVER: ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION AGREEMENT SHALL BE NULL AND VOID.

JURY TRIAL WAIVER: BY AGREEING TO ARBITRATION YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY.

Arbitration Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@bsfworks.com with the subject line "Arbitration Opt-Out" within 30 days of first creating your account. Opting out does not affect any other provision of these Terms. If you opt out, disputes shall be resolved in the state or federal courts of Wyoming.

27. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming without regard to conflict of laws principles. Any permitted court proceedings shall be brought exclusively in the state or federal courts located in Wyoming. You consent to personal jurisdiction in Wyoming for any such proceedings.

28. Apple App Store and Google Play Requirements

28.1 Apple App Store

If you downloaded the Service from the Apple App Store, you acknowledge:

This Agreement is between you and BSF LLC only — not with Apple Inc.
Apple is not responsible for the Service or its content
Apple has no obligation to provide maintenance or support for the Service
In the event the Service fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price if applicable — Apple has no other warranty obligation whatsoever
BSF LLC, not Apple, is responsible for addressing any claims relating to the Service
Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement with the right to enforce it against you
You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government prohibited parties list

28.2 Google Play

If you downloaded the Service from Google Play, you acknowledge:

This Agreement is between you and BSF LLC only — not with Google LLC
Google is not responsible for the Service or its content
Google has no obligation to provide maintenance or support for the Service
BSF LLC, not Google, is responsible for addressing any claims relating to the Service

29. General Provisions

Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to most closely reflect the original intent of the unenforceable provision.

Waiver: BSF LLC's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement: These Terms, together with the Privacy Policy, Data Retention Policy, Acceptable Use Policy, and Beta Testing Agreement, constitute the entire agreement between you and BSF LLC regarding the Service and supersede all prior agreements.

Assignment: You may not assign these Terms or any rights hereunder without BSF LLC's prior written consent. BSF LLC may assign these Terms freely.
